These Terms of Use (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Scupe.ai LLC (“Scupe,” “we,” “us,” or “our”) governing your access to and use of our website, platform, and services (collectively, the “Services”).

By accessing or using the Services, or by creating an account, you agree to be bound by these Terms.
If you do not agree, you may not use the Services.

2. Eligibility

By using the Services, you represent and warrant that:

• You are at least 18 years old
• You have authority to bind the business or entity you represent
• You are using the Services for lawful business purposes

3. Description of Services

Scupe provides website visitor analytics, identification, and data enrichment services designed to help businesses better understand and engage with their website traffic.

Services may include:

• Website tracking technologies (e.g., scripts, pixels)
• Visitor activity tracking and analytics
• Identity resolution and data enrichment using licensed third-party data providers
• Reporting dashboards, integrations, and automation tools

You acknowledge that:

• Data may be derived from third-party, public, and commercially available sources
• Data may include inferred or probabilistic information
• Scupe does not guarantee the accuracy or completeness of data

4. Client Responsibilities

You agree to:

• Use the Services in compliance with all applicable laws and regulations
• Maintain accurate privacy policies, disclosures, and cookie notices
• Obtain all required user consents before deploying tracking technologies
• Ensure proper use of all data obtained through the Services

You are solely responsible for:

• Your data collection practices
• Your marketing communications
• Your legal compliance, including:
  • CAN-SPAM Act
  • Telephone Consumer Protection Act (TCPA)
  • State privacy laws (e.g., CCPA/CPRA)

5. Permitted Use

You may use the Services and data solely for lawful internal business purposes.

You may NOT:

• Use data for unlawful, deceptive, or abusive practices
• Use data for credit, employment, insurance, housing, or similar regulated decisions
• Send communications where consent is required but not obtained
• Resell, share, distribute, or commercialize the data
• Use the Services to build or enhance a competing product or dataset

All data is licensed, not sold.

6. Third-Party Services

The Services may integrate with third-party platforms (e.g., Google, Meta, CRMs).

You acknowledge:

• These platforms have their own terms and policies
• Scupe is not responsible for their performance, availability, or actions

7. Fees and Payment

Some Services may be offered for free, while others require payment.

If you upgrade:

• Fees will be disclosed prior to purchase
• Payments must be made as agreed
• Failure to pay may result in suspension or termination

8. Intellectual Property

All technology, software, scripts, and platform components are owned by Scupe.ai LLC.

You are granted a limited, non-exclusive, non-transferable license to use the Services.

You may not:

• Copy, reverse engineer, or reproduce the platform
• Attempt to extract underlying technology or datasets

9. Data Accuracy and Availability

You acknowledge that:

• Data is sourced from third-party providers and external systems
• Data may be incomplete, outdated, or inaccurate
• Availability may change at any time

Scupe does not guarantee:

• Identification rates
• Data accuracy
• Continuous service availability

10. Privacy

Your use of the Services is subject to our Privacy Policy and Cookie Policy.

You agree to comply with all applicable data protection laws when using the Services.

11. Termination

We may suspend or terminate your access to the Services at any time for:

• Violation of these Terms
• Nonpayment
• Misuse of the platform
• Unlawful activity

You may terminate your account at any time.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available.”

We disclaim all warranties, including:

• Accuracy of data
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

13. Limitation of Liability

To the fullest extent permitted by law, Scupe.ai LLC shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or data
• Regulatory penalties or legal claims

Our total liability shall not exceed:

• The amount paid in the three (3) months preceding the claim, or
• $100 for free users

Whichever is lower.

14. Indemnification

You agree to indemnify and hold harmless Scupe.ai LLC from any claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your failure to comply with applicable laws
• Your misuse of data or marketing practices

15. Governing Law

These Terms are governed by the laws of the State of Florida.

16. Dispute Resolution

Disputes shall be resolved through binding arbitration in Pinellas County, Florida.

• Claims must be brought individually
• Class actions are not permitted

17. Changes to Terms

We may update these Terms at any time.
Continued use of the Services constitutes acceptance of the updated Terms.
